Introduction

Welcome to Learnstone.ai. These Terms of Service (“Terms”) govern your use of learnstone.ai (“Homepage”) and platform.learnstone.ai (“Platform”) (collectively, the “Services”) operated by Learnstone LLC (“we,” “us,” or “our”).

  • “Path Profile” refers to the personal and educational information you provide when creating an account.
  • “Learning Opportunities” refers to any educational courses, programs, or degrees listed on our Platform.
  • “External Partners” refers to educational institutions, admissions consultancies, and independent mentor experts that we connect users with.
  • “Learnstone Connect” refers to our service that matches users with External Partners.
  • “Learnstone Compass” refers to our automated question-answering service.

2. Services Description

2.1 Educational Listing Service

We provide a search and aggregation service for Learning Opportunities across the United Kingdom and other regions. We do not offer these Learning Opportunities ourselves but list them from various institutions and businesses.

2.2 Learnstone Connect

Through Learnstone Connect, we:

  • Allow users to submit requests for guidance
  • Forward user requests to our External Partners
  • Relay offers from External Partners to users
  • Facilitate initial connections between users and External Partners

We do not process payments between users and External Partners, nor are we party to any agreement formed between them. Our relationship with External Partners is governed by separate agreements.

2.3 Learnstone Compass

We provide an automated question-answering service that attempts to provide informed responses to user queries. This service is for informational purposes only and does not constitute professional advice.

3. User Accounts

3.1 Registration Requirements

To use certain features of our Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Path Profiles

When creating a Path Profile, you agree to provide truthful and accurate information about your educational background, experience, and goals. We use this information to enhance your experience with our Services.

3.3 Account Security

You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. User Conduct

4.1 Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates any applicable national, federal, state, local, or international law or regulation
  • Impersonate or attempt to impersonate us, our employees, other users, or any other person or entity
  • Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Services
  • Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose

Any content you submit to our Services, including information in your Path Profile and questions submitted to Learnstone Compass, must:

  • Be accurate (where stating facts)
  • Not infringe any patent, trademark, trade secret, copyright, or other intellectual property rights
  • Not violate the legal rights of others or contain any material that could give rise to civil or criminal liability
  • Not be likely to deceive any person
  • Not contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Homepage and Platform, including all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by us, our licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal, non-commercial use.

Any agreement entered into between you and an External Partner is solely between you and that partner.

8. Disclaimer of Warranties

8.1 “As Is” and “As Available” Basis

Your use of our Services is at your sole risk. Our Services are provided on an “AS IS” and “AS AVAILABLE” basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that:

  • The Services will meet your specific requirements
  • The Services will be uninterrupted, timely, secure, or error-free
  • The results that may be obtained from the use of the Services will be accurate or reliable

9. Limitation of Liability

To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from:

  • Your use or inability to use the Services
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Services
  • Any bugs, viruses, Trojan horses, or the like that may be transmitted to or through our Services
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available via the Services

9.2 Cap on Liability

In no event shall our total liability to you for all claims exceed the amount you have paid to us, if any, for your use of the Services during the 12 months prior to the cause of action arising.

12. User-Generated Content

12.1 Ownership

You retain all rights to any content you submit, post, or display on or through the Services, including your Path Profile information and questions submitted to Learnstone Compass.

12.2 License Grant

By providing content to our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with the Services.

12.3 Representations and Warranties

You represent and warrant that:

  • You own or control all rights in and to the content you provide
  • The content does not violate the privacy rights, publicity rights, copyright, contractual rights, or any other rights of any person or entity
  • The content does not contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable

13. Termination

13.1 Termination by Us

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach these Terms.

13.2 Termination by You

You may terminate your account at any time by contacting us and requesting account deletion.

13.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute through informal consultation by contacting us directly. We will make reasonable efforts to resolve disputes amicably within 30 days of notification.

14.2 Mediation

If informal resolution is unsuccessful, disputes may be submitted to mediation before a neutral mediator agreed upon by both parties.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use the Services.

16. Payment Terms

16.1 Future Payment Features

We may implement payment features for certain Services in the future. If and when such features are implemented, additional terms relating to payment processing, subscriptions, refunds, and related matters will be provided.

16.2 Commission Structure

For Learnstone Connect, we receive commissions from External Partners for successful connections. These commission arrangements are governed by separate agreements with the External Partners and do not affect the cost of services provided to users.

17. Age Restrictions

Our Services are intended for individuals who are 16 years of age or older. Users under the age of 18 should use our Services only with the involvement and consent of a parent or guardian. We do not knowingly collect personal information from children under 16.

18. Governing Law and Jurisdiction

18.1 Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

18.2 Dispute Resolution

Any legal action or proceeding arising out of or relating to these Terms shall be exclusively brought in the courts located in New York, New York, United States, and you hereby consent to the personal jurisdiction and venue therein.

19. General Provisions

19.1 Entire Agreement

These Terms constitute the entire agreement between you and us regarding our Services and supersede all prior and contemporaneous written or oral agreements between you and us.

19.2 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

19.3 Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect.

19.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null. We may assign or transfer these Terms, at our sole discretion, without restriction.
